These Customer Terms of Service ("Customer Terms") describe your rights and responsibilities when using LeanSpark. Please read them carefully.
Note: If you are using LeanSpark under an agreement with LEANSTACK, Inc. (for example, a Foundry Member agreement or Enterprise contract), the terms of that agreement will control if there's a conflict with these Customer Terms.
"Customer" means the organization or individual who creates a LeanSpark account.
"Authorized User" means an individual who Customer authorizes to use LeanSpark under Customer's account.
"Services" means LeanSpark AI Coach, including all related software, updates, and documentation.
"Credits" means the usage units that allow you to access LeanSpark features. Different activities consume different credit amounts.
"Customer Data" means any content you submit to LeanSpark, including business model canvases, coaching chat transcripts, validation plans, and experiment results.
LEANSTACK will make commercially reasonable efforts to make LeanSpark available 24 hours a day, 7 days a week. We may schedule downtime for maintenance and will provide notice when feasible.
Age Requirement: You must be at least 13 years old to use LeanSpark.
Early Access: Some features may be designated as "Beta" or "Early Access." These features are provided AS IS without warranties and may change or be discontinued.
You agree to:
LeanSpark uses a credit-based system. Different coaching activities consume different amounts of credits based on complexity and AI processing required.
Credit Types:
Credit Expiration: Unused credits expire at the end of each billing period and do not roll over.
No Cash Value: Credits have no monetary value and cannot be redeemed for cash. Credits are non-refundable.
Payment is due in advance for subscription periods. All fees are non-cancelable and non-refundable except as expressly stated in these Customer Terms.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel with at least 30 days' advance notice.
Price Changes: We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance.
Taxes: You are responsible for all taxes (excluding taxes based on LEANSTACK's net income).
Customer Data Ownership: You retain all rights to your Customer Data. By submitting Customer Data to LeanSpark, you grant LEANSTACK a worldwide, non-exclusive, limited-term license to use, store, and process that data solely to provide the Services.
AI Processing: LeanSpark uses artificial intelligence to provide coaching. Your prompts and canvases may be processed by third-party AI providers. See our Privacy Policy for details.
Data Export: You can export your canvases and validation plans at any time through your account settings.
IMPORTANT: LeanSpark uses AI to provide coaching guidance.
AI-generated output may contain errors, inaccuracies, or incomplete information. You should independently review all AI recommendations before making business decisions.
LeanSpark is not a substitute for professional business advice, legal counsel, or financial consulting.
You may not:
Free Plans: You may terminate at any time without notice.
Paid Plans: You may cancel with 30 days' advance notice. Your subscription will remain active until the end of the current billing period. No refunds for partial periods.
We may suspend or terminate your access immediately if you violate these Terms. For other reasons, we'll provide 30 days' notice where commercially reasonable.
Upon termination:
Recommendation: Export your canvases and coaching transcripts before canceling.
LEANSTACK PROVIDES LEANSPARK "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEANSTACK'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO LEANSTACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
EXCLUSION OF DAMAGES: IN NO EVENT SHALL LEANSTACK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
LEANSTACK IP: All rights, title, and interest in LeanSpark (including software, algorithms, prompts, and documentation) are owned by LEANSTACK, Inc.
Feedback: If you provide suggestions or feedback about LeanSpark, we may use that feedback without obligation to you.
Customer IP: You retain all rights to your Customer Data and business models.
Each party agrees to protect the other's confidential information using reasonable care (at least the same care used for their own confidential information).
LEANSTACK Confidential Information includes LeanSpark code, algorithms, and non-public features.
Customer Confidential Information includes your business strategies and proprietary canvases (unless you choose to share publicly).
We may modify these Terms from time to time. For material changes, we'll provide at least 30 days' notice via email or through the Services.
Continued use of LeanSpark after changes become effective constitutes acceptance of the modified Terms.
Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions.
Jurisdiction: Any legal action must be brought in the state or federal courts located in Travis County, Texas.
JURY TRIAL WAIVER: EACH PARTY WAIVES ANY RIGHT TO JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION ARISING OUT OF THESE TERMS.
No Class Actions: You may only resolve disputes with us on an individual basis and may not bring a claim as part of a class or representative action.
Entire Agreement: These Terms, together with your subscription agreement, constitute the entire agreement between you and LEANSTACK.
Assignment: You may not assign these Terms without our prior written consent. We may assign to affiliates or in connection with a merger or acquisition.
Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
